Please review these Terms & Conditions carefully. They describe the rights and responsibilities that apply when you engage Pulsecode Technology Sdn. Bhd. for digital products, integration work, and payment services.

1. Acceptance Of Terms
These Terms and Conditions (Terms) regulate your access to and use of Pulsecode Technology Sdn. Bhd.’s (Pulsecode, we, us) websites, applications, and professional services. By signing any statement of work, proposal, or by using our platforms, you agree to comply with these Terms. If you disagree with any part of the Terms, you should refrain from using our services.
2. Definitions
- Client refers to any organisation or individual who engages Pulsecode for products or services.
- Services include software development, integration, hosting, payment enablement, support, and any related consultancy provided by Pulsecode.
- Content covers all text, graphics, documents, code, and media supplied by either party within the engagement.
- Platform refers to any website, portal, dashboard, API, or application provided or maintained by Pulsecode.
3. Scope Of Services
The scope, deliverables, timelines, and commercial terms for each engagement will be defined in the relevant statement of work, quotation, or service order. Pulsecode reserves the right to appoint carefully vetted subcontractors or partners to deliver portions of the Services while remaining responsible for the overall outcome.
4. Client Responsibilities
- Provide accurate business information, access credentials, and approvals required for Pulsecode to deliver the Services.
- Ensure that any content, materials, or data supplied to Pulsecode do not infringe third-party rights or breach applicable laws.
- Comply with payment schedules stated in invoices or agreements and inform Pulsecode promptly of any billing disputes.
- Maintain the confidentiality of platform credentials and take reasonable steps to prevent unauthorised access.
5. Fees And Payments
- All fees are quoted in Malaysian Ringgit (MYR) unless stated otherwise.
- Invoices are payable within fourteen (14) calendar days from the invoice date unless alternative terms are agreed in writing.
- Late payments may attract finance charges or suspension of Services until outstanding amounts are settled.
- Hardware, third-party licences, payment gateway charges, and bank fees procured on behalf of the Client will be invoiced separately and are non-refundable.
6. Intellectual Property
- Pulsecode retains all intellectual property rights in pre-existing tools, frameworks, templates, or reusable components used to deliver the Services.
- Unless otherwise agreed in writing, ownership of custom-developed software or deliverables transfers to the Client upon full settlement of all due payments.
- The Client grants Pulsecode a non-exclusive licence to host, maintain, and support deliverables for the duration of the engagement.
7. Confidentiality
Both parties must treat all non-public information received during the engagement as confidential. Confidential information must not be disclosed to third parties without prior written consent, except where required by law or to fulfil contractual obligations with trusted vendors bound by confidentiality obligations.
8. Data Protection
Pulsecode processes personal data in accordance with the Personal Data Protection Act 2010 (PDPA) and our Privacy Policy. By engaging our Services, you consent to the collection, use, and disclosure of personal data as outlined in the Privacy Policy. The Client is responsible for obtaining any necessary consents from end users whose data is shared with Pulsecode.
9. Service Availability And Maintenance
Pulsecode endeavours to provide reliable, secure, and timely service delivery. Planned maintenance windows or urgent remedial work may result in temporary service interruptions. We will provide reasonable notice of planned maintenance and work to restore services promptly after any disruption.
10. Limitation Of Liability
- Pulsecode will not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, business interruption, or data loss arising from the use or inability to use our Services.
- To the fullest extent permitted by law, Pulsecode’s total liability in connection with any claim will not exceed the total fees paid by the Client for the Services giving rise to the claim in the twelve (12) months preceding the incident.
11. Indemnity
The Client agrees to indemnify and hold Pulsecode, its directors, employees, and partners harmless from any claims, damages, liabilities, or expenses arising from the Client’s misuse of the Services, breach of these Terms, violation of applicable laws, or infringement of third-party rights.
12. Suspension Or Termination
Pulsecode may suspend or terminate Services with immediate effect if the Client breaches these Terms, engages in unlawful activities, fails to make timely payments, or compromises system security. The Client may terminate the Services by providing written notice as stipulated in the applicable agreement. Termination does not relieve either party of accrued payment obligations or liabilities incurred prior to the termination date.
13. Force Majeure
Neither party will be liable for delays or failures to perform obligations due to events beyond reasonable control, including natural disasters, acts of government, network outages, or labour disputes. The affected party must notify the other party promptly and take reasonable steps to mitigate the impact.
14. Governing Law And Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising out of or relating to the Services shall first be resolved through good-faith negotiations. If the dispute remains unresolved within thirty (30) days, it may be submitted to the exclusive jurisdiction of the courts of Malaysia.
15. Changes To These Terms
Pulsecode may update these Terms periodically to reflect legal, technical, or business developments. Updated Terms will be published on this page with a revised effective date. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
